1. Parties and Services
This Client Service Agreement ("Agreement") is entered into between ZuvoHQ Limited, a company based in New Zealand ("ZuvoHQ," "we," "us," or "our"), and the client ("Client," "you," or "your") for the provision of professional video content creation services. We serve clients worldwide from our New Zealand base.
Services Provided:
- Professional video editing using client-provided footage
- Vertical 1080p format optimized for TikTok, Instagram, and YouTube Shorts
- Product-focused content creation (no voiceovers or faces unless specifically requested)
- Delivery via email in specified formats
- Minimum order: 50 videos per order (after initial 10-video Proof Package)
2. Project Scope and Specifications
2.1 Project Definition
Each project begins with a detailed brief submitted through our platform. The brief must include:
• Project objectives and target audience
• Brand guidelines and visual requirements
• Content specifications (length, format, style)
• Platform requirements and optimization needs
• Delivery timeline and any special requirements
2.2 Content Requirements
Client is responsible for providing all source materials including:
• Raw video footage (minimum 1080p quality recommended)
• Images and graphics in high resolution
• Audio files or music preferences
• Brand assets (logos, fonts, color schemes)
• Content scripts or key messaging points
3. Pricing and Payment Terms
Pricing Structure
- Volume-based pricing with automatic discounts
- Transparent pricing with no hidden fees
- Optional add-ons priced separately
- Custom pricing for enterprise clients
Payment Terms
- 50% deposit required to begin work
- Remaining 50% due upon delivery
- Payment via credit card, PayPal, or bank transfer
- Net-30 terms available for qualified businesses
3.1 Additional Costs
• Next-day delivery: +$1.99 per reel
• Major scope changes: quoted separately
• Premium music licensing: actual cost + 15% handling fee
4. Delivery and Timeline
4.1 Standard Delivery Times
• Standard projects: 3-5 business days from project confirmation
• Rush delivery available: 24 hours (+$1.99 per reel)
• Large projects (500+ reels): custom timeline agreed upon
4.2 Delivery Method
Final deliverables are provided through our secure client portal with:
• Direct download links for all formats
• Cloud storage integration (Google Drive, Dropbox)
• Optional auto-scheduling to social media platforms
• Detailed delivery report and usage guidelines
5. Intellectual Property and Usage Rights
6.1 Content Ownership
Upon full payment, Client receives complete ownership and commercial usage rights for all delivered content, including:
• Unlimited commercial usage rights
• Right to modify, adapt, and redistribute
• No ongoing royalty or licensing fees
• Perpetual usage rights (no expiration)
6.2 Source Material License
Client warrants that all source materials provided are:
• Owned by Client or properly licensed for intended use
• Free from third-party claims or restrictions
• Suitable for commercial use as intended
• Compliant with platform terms of service
6.3 Portfolio Usage
ZuvoHQ reserves the right to use completed work in our portfolio and marketing materials, unless Client specifically requests confidentiality in writing.
6. Client Responsibilities
7.1 Content Provision
• Provide all source materials in specified formats and quality
• Submit comprehensive and accurate project briefs
• Ensure all content is legally cleared for intended use
• Respond to clarification requests within 48 hours
7.2 Review and Approval
• Review deliverables within 7 days of delivery
• Provide specific, actionable feedback in a timely manner
• Approve final deliverables in writing before publication
• Test all content on intended platforms before launch
7.3 Payment Obligations
• Make deposit payments before work commences
• Complete final payment within agreed terms
• Notify of any billing discrepancies within 10 days
• Maintain current payment method information
7. Performance Guarantees and Quality Standards
8.1 Quality Commitment
ZuvoHQ guarantees that all deliverables will:
• Meet or exceed industry technical standards
• Conform to specified platform requirements
• Match the style and quality shown in our portfolio
• Be delivered within agreed timeframes
8.2 Performance Expectations
While we cannot guarantee specific performance metrics (views, engagement, conversions), we commit to creating content optimized for platform algorithms and audience engagement based on current best practices and industry standards.
Quality & Resolution Path
All sales are final once processing begins. We deliver professional product videos built to convert based on your specifications. No refunds or revisions are provided after processing starts - content is optimized for high-volume posting strategies.
8. Limitation of Liability
9.1 Service Limitations
ZuvoHQ's liability is limited to the total amount paid by Client for the specific project in question. We are not liable for:
• Indirect, consequential, or punitive damages
• Lost profits or business opportunities
• Platform algorithm changes affecting content performance
• Third-party platform policy violations or restrictions
9.2 Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or technology failures.
9. Termination and Cancellation
10.1 Client Cancellation
• Before processing begins: Cancellation allowed minus 5% administrative/processing fee
• After processing begins: All sales final - no refunds or changes available
• Must be requested in writing via email or support ticket
• Completed work remains Client's property upon payment
10.2 ZuvoHQ Termination Rights
We reserve the right to terminate projects for:
• Non-payment of agreed fees
• Violation of acceptable use policies
• Providing illegal or inappropriate content
• Abusive behavior toward our team members
10. Data Protection & Subprocessors
10.A Privacy Frameworks. We process Personal Data per our Privacy Policy. Where acting as Processor, the Data Processing Agreement (DPA) applies.
10.B Subprocessors. Vetted third parties listed at /subprocessors support hosting, storage, auth, payments, analytics (post‑consent) & tooling. Material additions (impacting Personal Data) will be posted with advance notice (aim: ≥15 days). Reasonable documented objections within 10 days; unresolved—sole remedy: terminate affected processing (or Agreement if inseparable) with pro‑rated refund of unused pre‑paid fees for that portion.
10.C Security. Safeguards (encryption, access control, monitoring, incident response) summarized at /security-compliance. You must secure uploads, credentials, and ensure lawful basis for footage.
10.D No Sale of Personal Data. We do not sell or share Personal Data for cross‑context behavioral advertising.
10.E Children. Do not submit footage primarily featuring individuals under 16 without verifiable consent & lawful basis; never submit exploitative or unsafe minor content.
10.F Data Subject Requests. Submit via /gdpr-data-request; forward requests you receive that relate to processing we conduct for you.
10. Governing Law and Dispute Resolution
11.1 Applicable Law
This Agreement is governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
11.2 Dispute Resolution Process
1. Direct negotiation between parties (required first step)

3. Binding arbitration if mediation fails

12. Agreement Acceptance
By placing an order with ZuvoHQ, Client acknowledges having read, understood, and agreed to be bound by all terms and conditions outlined in this Agreement. This Agreement supersedes all previous agreements and may only be modified in writing by authorized representatives of both parties.
Digital Acceptance
Clicking "Place Order" or submitting a project brief constitutes digital signature and acceptance of this Agreement. A copy will be available in your client dashboard and sent via email for your records.
